GoSaif Terms of Use

1. Platform Overview

1.1

ATI is a technology company whose main activity is the development, operation and management of a technology platform through which Individuals and Businesses ("Users" or "You") may request and obtain on-demand Security Services provided solely by Independent Contractors ("Contractors/Service Providers") who offer their services via the Platform. We facilitate connections between Users and Service Providers but do not provide security services ourselves. We are a platform that provides intermediation services for the contracting of "on demand" services by electronic means. Its aim is to simplify access to reliable, on-demand security services for individuals and businesses.

1.2

In all cases, ATI & Gosaif's role is that of a mere intermediary and, therefore, its sole responsibility and task is to manage Gosaif, which facilitates the contact between Users and Service Providers. ATI is in no way responsible for the provision or performance of Services offered through or requested through the Gosaif Platform.

2. The Services

2.1

You understand that ATI operates a digital service, offered via Gosaif, which connects you with independent security and protection providers (hereinafter referred to as "Contractors/Service Providers" for the provision of on-demand protective Services (the "Services"). You understand that the Services provided through Gosaif enables you to find, request, or receive these Third-Party Services.

2.2

Once you make a request, Gosaif notifies Service Providers that an opportunity is available so that the Service Providers may complete your request and provide the Service to you. It is up to the Service Providers to decide whether or not to offer Services to you or at all, and it is up to you to decide whether or not to accept such services from a Service Providers.

3. Contractual Relationship

3.1

These Terms govern the access or use by you, an individual, from within any country in the world, of applications, websites, content, products, and services made available by ATI.

3.2

Your use, joining, registration, or otherwise participating on the Gosaif platform as well as your access and use of the Services provided thereby constitutes your acknowledgment, acceptance, and unambiguous agreement to be bound by these Terms, as well as all other Terms and Policies domiciled on this Platform, which establishes a contractual relationship between you and ATI. If you do not agree to these Terms, you may not access or use the Services. These Terms expressly supersede prior agreements or arrangements with you.

3.3

ATI may immediately terminate these Terms or any Services with respect to you or generally cease offering or deny access to the Services or any portion thereof, at any time for any reason.

4. Amendments / Change of Terms

4.1

These Terms may be amended from time to time and ATI reserves the sole right to modify these Terms at any time, including when the functionality of our Services is updated or when there are regulatory changes. Changes will be effective immediately upon posting. While we may use commercially reasonable efforts to generally notify you, you are primarily responsible for regularly reviewing the updated Terms, and your continued access or use of the Service after the date of the new Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop accessing or using the Services.

5. User

5.1 User Data

Our collection and use of personal information in connection with the Services is as provided in ATI's Privacy Policy located on ATI's website. ATI may provide to a claims processor or an insurer any necessary information (including your contact information) if there is a complaint, dispute or conflict, which may include an accident, involving you and a Service Provider and such information or data is necessary to resolve the complaint, dispute or conflict.

5.2 User Access and Registration

5.2.1

In order to be a User on Gosaif, you represent and warrant that you meet the underlisted requirements and have the legal capacity to enter into these Terms. You hereby warrant that you:

• Are at least 18 years of age.
• Have truthfully completed the mandatory fields of the registration form requesting personal details such as the User's name, e-mail address, telephone number and bank card number.
• Have carefully read these Terms when accessing the Platform.
• Acknowledge that the acceptance of the Terms is an essential step to be taken before registration.

5.2.2

The User warrants that all the information regarding his/her identity and capacity provided on Gosaif in the registration forms is true, accurate and complete. In addition, Users undertake to keep their details up to date. If a User provides any false, inaccurate or incomplete information or if ATI considers that there are well founded reasons to doubt the truthfulness, accuracy or integrity of such information, ATI may deny that User current or future access to, and use of, Gosaif or any of its contents and/or services.

5.3 User's Obligations and Responsibilities

5.3.1

Users are fully responsible for the proper use of, and access to, their profile and other Platform contents in accordance with the current legislation, be it national or international, of the Country from which they are using the Platform, as well as with the principles of good faith, morals, generally accepted customs and public order. Specifically, they undertake to diligently comply with these Terms of Use.

5.3.2

Users are the sole owners of the content entered by them on the Platform but grant ATI a non-exclusive, royalty-free license to use such content for purposes related to Service provision and platform improvement for the purpose of operating, improving, promoting, and developing the Platform and its services.

5.3.3

Users shall refrain from using their profile and other Platform contents for illegal purposes or with illegal results that harm third-party rights and interests or that may in any way damage, disable, affect or impair the Platform and its contents and services.

5.3.4

Any person(s) who breach the above obligations shall be liable for any loss or damage caused by them. The Platform will accept no liability for any consequences, loss or damage that may arise from such illegal use or access by third parties.

5.3.5

In general, Users undertake, by way of example without limitation:

• To refrain from altering or modifying the Platform, in full or in part, by bypassing, disabling or in any other way tampering with, its functions or services.
• To refrain from infringing industrial and intellectual property rights or the personal data protection legislation
• To refrain from using the platform to insult, defame, intimidate or harass other Users or attack their image.
• To refrain from accessing other Users' email accounts.
• To refrain from introducing computer viruses, corrupted files or any other software that may cause damage or alterations to the Platform or third parties' contents or systems;
• To refrain from sending mass and/or recurring emails to a number of people, or from sending third parties' e-mail addresses without their consent;

5.4 De-registration and Cancellation of Users' Accounts

5.4.1

Users may voluntarily deregister from Gosaif via https://www.akinsemoyin.com/legal/account-deletion.

5.4.2

In addition, ATI reserves the right to suspend and/or cancel any Users' accounts on Gosaif in the case that it takes notice that the User has stopped complying with all basic requirements for registration as well as in case of reasonable suspicion of fraudulent or illicit use, including the use of the User account in a manner which is contrary to these Terms.

6. Platform Disclaimer & Third-Party Provider Relationship

6.1

ATI IS NOT A LICENSED SECURITY COMPANY AND DOES NOT PROVIDE SECURITY SERVICES. Gosaif is a digital technology service that connects Users with third-party providers who offer security-related services independently. These Services may include—but are not limited to—personal protection, event security, and property monitoring ("Third-Party Security Services/the Services").

6.2

Access to Gosaif and related services is limited to registered Users and is not open to the general public. Your ability to request, and if applicable, receive Third-Party Security Services from independent providers through Gosaif does not establish Gosaif or ATI as a provider of such Services.

6.3

Service Providers are independent contractors and not employees, agents (actual, apparent, or ostensible), representatives, joint venturers, or partners of ATI or Gosaif for any purpose. No partnership, joint venture, employment, or agency relationship exists between ATI and any Service Provider as a result of these Terms or use of Gosaif.

6.4

Any facilitation or coordination provided on Gosaif —including but not limited to safety features, training tools, performance standards, feedback systems, or background checks—is provided solely to improve the User experience or comply with applicable legal requirements, and shall not be interpreted as control over, supervision of, or responsibility for the actions of Third-Party Service Providers.

6.5

Service Providers are solely responsible for complying with all applicable laws and regulatory requirements, including but not limited to licensing obligations under the laws of the jurisdiction in which they operate.

7. Fees, Payments & Charges

7.1 Payments & Charges

While Users may register on Gosaif free of charge; nevertheless, the free character of the registration on Gosaif is subject to review by ATI at any time. In any case, Users agree to pay all applicable fees for services requested through Gosaif. Payment processing is facilitated via third-party providers, and you agree to be bound by their terms. ATI may charge a service fee for use of Gosaif, which will be disclosed before you confirm a service request to continuously improve our overall services, providing a wider selection of Providers and continuously improving our user experience, among others.

7.2 Charges for Security Services

7.2.1

Charges applicable for Third-Party Security Services may include service fees, time-based rates, minimum service charges, cancellation fees, administrative fees, surcharges, or other marketplace-driven adjustments. These Charges may vary based on factors such as service duration, geographic location, risk profile, and availability of providers, and may fluctuate during periods of high demand or other market conditions.

7.2.2

Charges displayed to you when you request services through the Platform will reflect the total price, which may include:

• Fees owed directly to the Third-Party Provider for the services rendered; and
• Platform service fees or administrative charges owed to ATI
• Charges will include applicable taxes where required by law.

7.3 Payment

7.3.1

With respect to Third-Party Providers, you acknowledge that:

• Charges you incur for services are owed directly to the Third-Party Provider;
• ATI acts solely as a limited payment collection agent on behalf of the Third-Party Provider; and
• Payment to ATI shall be considered the same as payment made directly by you to the Third-Party Provider.

7.3.2

Once you submit a request for services and payment is processed via Gosaif, you agree that you have paid the applicable Charges in full

7.3.3

This payment structure is intended to fully compensate the Third-Party Provider for the services rendered through Gosaif.

7.4 Charges for Platform Use

7.4.1

Certain fees or Charges may also be payable directly to ATI, including service or administrative fees associated with facilitating your access to the Platform. For clarity, ATI does not charge a fee for merely accessing Gosaif itself but may charge fees in connection with specific service requests, account features, or value-added services.

7.4.2

Prices for services obtained through Gosaif may differ from prices offered directly by Third-Party Providers for the same or similar services outside Gosaif.

7.5 Payment Methods

7.5.1

When you add a payment method to your account, you authorize ATI and its payment service providers to store and use your payment method information to process Charges incurred through the Platform. You may store multiple payment methods in your account, and ATI may charge any available method for outstanding or future Charges.

7.5.2

You agree to keep your payment information current and authorize us to update your payment method information automatically if we receive updated account details from your bank or payment service provider. If your default payment method is unavailable, we may charge an alternate method in your account.

7.5.3

ATI reserves the right to decline, refuse, or limit the use of any payment method if we suspect fraud, unauthorized use, or violations of our Terms.

7.6 Third-Party Payment Processors

Certain payment methods may involve third-party payment processors not affiliated with ATI. Additional fees may apply, and ATI disclaims any responsibility for such fees. Please review the terms and conditions of your selected payment provider.

7.7 Adjustments & Refunds

7.7.1

Charges paid by you are generally non-refundable, unless otherwise required by applicable law. If you believe a Charge is incorrect or if you wish to request a refund, cancellation, or adjustment, you must contact us through Gosaif's support features within 30 days of the applicable Charge, failing which waive your right to dispute the Charge.

7.7.2

Refunds or adjustments for Charges related to services rendered by a Third-Party Provider are subject to the policies of the individual Provider and applicable laws. ATI will consider refund or adjustment requests in good faith but does not guarantee approval of any such requests.

8. Disclaimer of Warranties

8.1

Services provided on Gosaif are provided "as is" and "as available." We make no representations or warranties of any kind, whether express, implied, or statutory, unless expressly stated in these terms. This includes, but is not limited to, any implied warranties of quality, fitness for a particular purpose, and non-infringement.

8.2

We do not guarantee the availability, reliability, timeliness, quality, suitability, or accuracy of services obtained through Gosaif. We do not warrant that the platform will be uninterrupted, secure, or error-free. We do not endorse, recommend, or verify the qualifications of any Service Provider.

8.3

We operate solely as an intermediary that connects users with independent, third-party providers of on-demand security services. These Service Providers are not employees, agents, or representatives of the platform, and we do not control, supervise, or direct their activities. As such, we do not guarantee the qualifications, licensing, conduct, safety, or service quality of any third-party provider. While we may conduct limited background checks, we do not guarantee the accuracy or completeness of any background information.

8.4

You acknowledge and agree that any risks arising from your use of the platform or engagement with a Service Provider rest solely with you, to the fullest extent permitted by law.

8.5

If any dispute arises between you and a Service Provider or any third party, you agree to release ATI and its affiliates from all claims, demands, and damages—whether known or unknown, suspected or unsuspected, disclosed or undisclosed—arising from or in any way connected to such disputes.

8.6

We do not endorse, verify, or assume responsibility for any user-generated content or third-party information available through Gosaif. Additionally, we do not guarantee that the platform will be free from viruses, malware, or other harmful elements.

8.7

While the platform may use algorithms or automated processes to assist in matching users with providers or to enhance safety and user experience, these tools do not constitute guarantees or warranties of any kind, and outcomes may vary.

9. Limitation of Liability

9.1

To the fullest extent permitted by law, ATI and its affiliates, officers, directors, and employees, shall not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including but not limited to loss of profits, loss of data, personal injury, death, or property damage arising from or related to your use of Gosaif, the Services, or any engagement with a Service Provider. This applies regardless of any theory of liability, including negligence (whether active, passive, sole, or concurrent), and even if we have been advised of the possibility of such damages.

9.2

We shall not be liable for any damages, liability, or losses arising out of:

• your access to, use of, or reliance on Gosaif or the inability to access or use it
• any transaction, interaction, or relationship between you and any Service Provider obtained through Gosaif; or
• any delays, failures, or disruptions resulting from causes beyond our reasonable control.

9.3

You acknowledge and agree that Service Providers offering Services through Gosaif are independent contractors, and are not employees, agents, apparent agents, or representatives of ATI or Gosaif. We do not supervise, direct, or control these providers, and we are not responsible or liable for their conduct, performance, or failure to perform.

9.4

ATI may be used by users to request, schedule, and pay for private security or protection services provided by third-party providers, but we do not accept any responsibility or liability related to the services (or lack thereof) rendered by those providers, except where explicitly stated in these terms.

9.5

We do not assume liability for any damages, injuries, or incidents that may result from the actions, omissions, or failures of a third-party provider, nor for any failure to comply with local laws or licensing requirements that may apply to such providers. In any event, our total liability to you shall not exceed the greater of the amount you paid to us in the past 12 months or (b) $1000.

10. Indemnity

You agree to indemnify, defend, and hold harmless ATI, its affiliates, officers, directors, employees, agents, licensors, and partners from and against any and all claims, losses, liabilities, expenses, damages, and costs (including legal fees) arising out of or relating to:

• your access to or use of the Platform,
• your violation of these Terms,
• your violation of any applicable law or rights of a third party, or
• your interaction with a Service Provider or any third party through the Platform.

11. Intellectual Property

11.1

ATI is the owner or licensee of all intellectual and industrial property rights that relate to Gosaif, as well as the content that can be accessed through it, which is uploaded by ATI and/or on its behalf. These intellectual property rights, as well as the text, images, graphic design, navigation structure, information and content contained therein, are the property of ATI, which has the exclusive right to exploit the rights thereto in any manner, in particular the right of reproduction, distribution, publication and transformation, in accordance with Canadian legislation on intellectual and industrial property rights.

11.2

The content uploaded to Gosaif by or on behalf of any third party, including but not limited to the Users, and Service Providers, remains their exclusive property; therefore these are fully responsible for any damage, claim and/or liability that may directly or indirectly derive from the content uploaded by them and/or on their behalf.

11.3

In spite of the foregoing, ATI may not be the owner or licence holder of content such as names or images, among others, of companies with which ATI does not have a business relationship. In such cases, ATI acquires the content from publicly available sources, and ATI shall in no event be deemed to be related to any right belonging to ATI.

11.4

Authorising a User to access Gosaif does not imply the waiver, transfer, licensing or full or partial assignment by ATI of any intellectual or industrial property rights. Deleting, bypassing or in any way tampering with the contents of Gosaif are all prohibited. In addition, modifying, copying, reusing, exploiting, reproducing, publicising, making second or subsequent publications of, uploading files, sending by post, transmitting, using, processing or distributing in any way all or some of the contents included in Gosaif for public or commercial purposes are also prohibited, save with ATI's express written authorisation or, where applicable, that of the owner of the rights concerned.

11.5

By registering on Gosaif, and agreeing to these Terms, the User grants ATI, in relation to the content that he/she may provide, a worldwide, irrevocable, and transferable licence, free of charge, with the right to sub-license, use, copy, modify, create derivative works, distribute, publicise and exploit it in any way that may be deemed appropriate by ATI, with or without any further communication to the User and without having to pay any amounts for such uses. All the above shall be understood as granting the indicated rights only to the maximum extent permitted by the applicable legislation.

12. Severability

If any of the clauses of these Terms are found to be voidable or void by operation of law, such clause(s) shall be deemed not to have been included. Such declaration of nullity will not cause the other clauses to be void, and these shall remain valid and effective between the Parties.

13. Applicable Law

These Terms shall be governed by and construed in accordance with these Terms and the laws of the Federal Republic of Nigeria, applicable therein, without regard to its conflict of law rules.

14. Dispute Resolution

In the event of a dispute between you and ATI, both parties will first attempt to resolve the issue informally through written communication. Failing that, disputes shall be referred to the Lagos Multi-Door Courthouse for mediation. Where the Parties are unable to resolve the dispute within Thirty (30) days, either Party may submit to the exclusive jurisdiction of the courts of the Federal Republic of Nigeria.

15. Customer Support and Alternative Dispute Resolution

In order to facilitate communication with the Service Provider, where necessary, and in the event of any incidents in the provision of the Services, ATI makes available to Users through its Help Section, an internal system allowing immediate contact from the User.
